  10. TFI Technology Ltd SOFTWARE LICENCE AGREEMENT
  11. A. TFI continues to own this copy of the Software and all other copies 
  12. that you are authorised by this Agreement to make. This license gives you 
  13. the non-exclusive, non-sublicensable, non-transferable right to use the 
  14. Software on the following terms:
  15.  
  16. B.    YOU MAY
  17. 1.  Use one copy of the Software on a single computer, subject to the
  18. provisions below.  The Software is "in use" on a computer when it is
  19. loaded into the temporary memory or installed in the permanent memory of
  20. that computer.
  21. 2.  Make one (1) backup copy of the Software, provided that you
  22. reproduce all copyright and other proprietary notices on the copy and
  23. the copy is kept in your possession with the original.
  24. 3.  Use the Software only to the extent reasonably required to determine 
  25. whether to purchase the Software.
  26.  
  27. C.    YOU MAY NOT
  28. 1.  Rent, lend, lease, sell, transfer or grant any rights in the
  29. Software.
  30. 2.  Remove any copyright or other proprietary notices on the Software.
  31. 3.  Modify, alter, translate or create derivative works based on the
  32. Software (except as the law may permit you to do so, notwithstanding
  33. such restrictions).
  34. 4.  Reverse engineer, decompile, disassemble or otherwise attempt to
  35. derive the source code, except as the law may permit you to do so,
  36. notwithstanding such restrictions, and you acknowledge that the Software
  37. in source code form remains a confidential trade secret of TFI and/or
  38. its suppliers.
  39. 5.  Distribute the Software or any part of it on a public bulletin
  40. board, ftp site, world wide web site or by any other means.
  41. 6.  Load the Software onto a network server for the purposes of distribution 
  42. to one or more other computers on that network or to effect such distribution 
  43. (such use requiring a separate license).

  45. D.    LIMITED WARRANTY
  46. TFI MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THIS SOFTWARE OR
  47. ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY THE SOFTWARE, FOR
  48. ANY PURPOSE.  THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT ANY EXPRESS OR
  49. IMPLIED WARRANTIES WHATSOEVER, INCLUDING WARRANTIES OF SATISFACTORY
  50. QUALITY AND FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

  52. WHERE THIS SOFTWARE IS PROVIDED GRATUITOUSLY TFI SHALL NOT BE LIABLE
  53. UNDER ANY THEORY OF LAW OR FOR ANY DAMAGES SUFFERED BY YOU OR ANY USER
  54. OF THE SOFTWARE.  TFI WILL NOT SUPPORT THIS SOFTWARE AND WILL NOT
  55. ISSUE UPDATES TO THIS SOFTWARE.

  57. DEPENDING ON LOCAL LAW, CERTAIN LIMITATIONS CONTAINED IN THIS WARRANTY
  58. MAY NOT APPLY TO YOU OR YOU MAY HAVE OTHER RIGHTS, SO BE SURE TO CHECK.
  59. THIS WARRANTY IS GIVEN IN LIEU OF ALL WARRANTIES, CONDITIONS, TERMS,
  60. UNDERTAKINGS AND OBLIGATIONS IMPLIED BY STATUTE, COMMON LAW, CUSTOM,
  61. TRADE USAGE, COURSE OF DEALING OR OTHERWISE, ALL OF WHICH ARE HEREBY
  62. EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW.

  64. E.    LIMITATION OF LIABILITY
  65. NEITHER WE NOR OUR SOFTWARE SUPPLIERS, DEALERS, DISTRIBUTORS, AGENTS OR
  66. EMPLOYEES, WILL BE LIABLE FOR (a) ANY INDIRECT, CONSEQUENTIAL, SPECIAL
  67. OR INCIDENTAL DAMAGES OR ANY SORT, SUCH AS DAMAGES FOR LOST PROFITS,
  68. BUSINESS INTERRUPTION OR LOSS OF DATA ARISING OUT OF THE USE OF THE
  69. SOFTWARE, WHETHER OR NOT WE HAVE BEEN NOTIFIED OF THE POSSIBILITY OF
  70. SUCH DAMAGES, OR (b) FOR ANY CLAIM BY ANY THIRD PARTY. THIS LIMITATION
  71. OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY
  72. TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE,
  73. SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
  74. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO
  75. YOU.

  77. F.    GENERAL TERMS
  78. All rights not expressly granted to you hereunder are reserved by us.
  79. This License is effective until terminated.  Failure to comply with any
  80. provisions of this License, will result in automatic termination of this
  81. License and may result in legal action.  TFI may terminate this
  82. License at any time by delivering notice to you and you may terminate
  83. this License at any time by destroying or erasing your copy of the
  84. Software.  Upon termination, you agree to destroy all copies of the
  85. Software in your possession.  In the event of termination, the following
  86. sections of this License will survive: D and E.  This License is
  87. personal to you and you agree not to assign your rights herein.

  89. Title, ownership rights, and intellectual property rights in and to the
  90. Software shall remain in TFI and/or its suppliers where applicable.
  91. You agree to abide by international copyright law.
  92.  
  93. The Software is provided with restricted rights.  Any use, duplication
  94. or disclosure by the U.S. Government or any agency thereof is subject to
  95. restriction as set forth in subdivision (c)(1)(ii) of The Rights in
  96. Technical Data and Computer Software clause at 48 CFR 252-227-7013 and
  97. in subdivision (b)(3)(ii) of The Rights in Technical Data and Computer
  98. Software clause at FAR 52.227- 7013.  Similarly, any use, duplication or
  99. disclosure by any other government is subject to similar restrictions
  100. under local law.  - In the event of any conflict between any provision
  101. of this Agreement and any applicable law, the provision or provisions of
  102. this Agreement affected shall be modified to remove such conflict and
  103. permit compliance with such law, and as so modified this Agreement shall
  104. continue in full force and effect.  - This Agreement shall be governed
  105. by the English law and shall be subject to the exclusive jurisdiction of
  106. the English courts without reference to conflicts of laws principles.
  107.  
  108. This Agreement constitutes the entire agreement between the parties with
  109. respect to the Software and supersedes any communications, advertising
  110. or representations concerning the Software and may not be modified other
  111. than by an instrument in writing signed by both parties.
  112.  
  113. NOTHING IN THIS AGREEMENT SHALL AFFECT THE STATUTORY RIGHTS OF A PERSON
  114. DEALING WITH TFI AS A CONSUMER AS DEFINED IN THE UNFAIR CONTRACT TERMS
  115. ACT 1977.
